Terms & Conditions
Welcome to the terms & conditions page for sharedspaces.co.uk. These terms contain important information and conditions relating to your use of the Site and your use of it will be treated as your consent to these terms, so we strongly recommend you read them.
Definitions
In these T&C, the following words will have the following meanings unless otherwise stated:
"Content" means communications, text, photographs, graphics or other information or content that is posted on the Site from time to time;
"Full Member" means a Member who has completed the payment process to have access to additional facilities offered as part of the Service;
"Account" means any Member's membership status on the Site;
"Member" means anyone who has completed the first registration page and received an email confirming their membership and whose membership remains current;
"Service" means the service We provide to all Users through the Site;
"Site" means Our website at URL www.sharedspaces.co.uk (or such other URL that we may use from time to time);
"T&C" means these terms & conditions;
"User" means anyone who views the Site, and includes both Visitors and Members;
"Visitor" means anyone viewing the site who has not yet been accepted for membership;
"We, Us, Our" means Shared Spaces Limited;
Interpretation
These T&C will be interpreted according to English Law. Headings are for ease of navigation of the T&C and are not intended to form part of them or affect their interpretation.
Acceptance of Terms
We provide the Service to you through the Site, subject to the following T&C, which may be updated by Us from time to time by posting the changes on the Site. It is your responsibility as a User of the Site to review the T&C periodically for changes and by using the Site you agree to be legally bound by the T&C as posted on the Site at the time of your visit.
Eligibility
You must be at least 18 years of age to be a User of this Site. By using this Site you represent and warrant that you have the right, authority and capacity to enter into this agreement and abide by its T&C. You also agree that any information that you provide to Us is true, accurate, current and complete information and you agree to maintain and promptly update that information to keep it true, accurate, current and complete. If at any point We reasonably believe that such information is not true, accurate, current and complete, We reserve the right to suspend or terminate your Account.
Privacy Policy
We take your privacy very seriously, as your trust is really important to Us. We comply with the Data Protection Act 1998 and are registered with the Information Commissioner (Registration Number Z9237864).
a) Some of the information that you provide Us with during the registration process will be made available to other Members in response to searches that they perform using our Service. Your email address and name will never be made available in this way. Your online identity on the Site is the username that you selected for yourself at registration.
b) You must not make your email address or any other means of contacting you available on any screen of the Site. The only legitimate way of contacting another Member is to send them an email using our inbox service. Once they have replied to this email it is up to you if and when you disclose further contact details.
c) We may (but are not obliged to) send you weekly lists of new Members who match your criteria and occasional newsletters informing you about the goods and services of Ours and others. You may unsubscribe to each such service at any time by clicking the 'Opt Out' option at the bottom of any such emails. Please note that we will not pass on your details to third parties (unless required to do so by law) but we reserve the right to pass on your details to any buyer of Our company or of its assets solely for purposes of continuing to run the Site.
d) We use cookies to enhance User experience of Our Site. If you do not wish to accept the use of cookies you can change your browser settings to prevent them.
e) All payments will be transacted via a secure server. No actual credit or debit card information will be processed or stored on Our server. Payments on Our Site are processed by SecPay - their terms and conditions including their privacy policy apply to your personal data provided by You for payment purposes. Please note that your payment details will not be held by Us at any time.
f) All of your personal information that we do hold is held on and processed by computers located in the United Kingdom.
g) Much of the information you provide Us with at registration is made available to other Users of Our Site. Please remember that, because of the nature of the Internet, any information you disclose here becomes public information. You should therefore exercise discretion when disclosing information on Our Site.
h) You may have your registration details removed at any time and your Account cancelled. To do so please click here.
i) We will use all reasonable commercial endeavours to keep your personal details confidential, and will not disclose such information, except where such information is public knowledge or if is required to be disclosed by law.
j) This policy applies only to Our Site and not to other websites to which we provide links. You are advised to read the privacy policies of any other website.
Content Guidelines
You agree not to post, upload or transmit to the Site or our servers or send to any Members, any Content that:
a) Shows your own personal details, such as your telephone number, fax number, email, URL or any other information that would enable other Users to contact you directly;
b) Could be seen to be obscene, fraudulent, indecent, discourteous, racially offensive, abusive, harmful, harassing, inflammatory, threatening, defamatory or libellous;
c) Advocates or encourages any illegal activity;
d) Is capable of offending others' political and/or religious beliefs;
e) Breaches, infringes, violates and/or is contrary to any law, by-law, statute and/or regulation or code of conduct or any other parties' rights (including but not limited to intellectual property rights and personal data protection rights);
f) Could be construed as junk mail, spam, chain letters, or any such forms of solicitation;
g) Promotes another website, service or business in any way;
h) Misuses in any way the Service or any information posted on the Site.
You
a) With respect to all Content you post to the Site, you grant Us the royalty-free, perpetual, irrevocable, non-exclusive and fully sub-licensable right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed;
b) will not assign, transfer or authorise any other person to use your Account.
Member Account Security
Upon completing the first registration page you will be sent an email confirming your 'Username' and 'Password' (that you have created). You are responsible for maintaining the confidentiality of this information and are fully responsible for all activities that occur under your online identity. You agree to (a) immediately notify Us of any unauthorised use of your 'Username' and 'Password' and any other breach of security, and (b) ensure that you exit from your Account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this.
Price and Payment
The price of the Service will be shown on the FAQs page on the Website. This price is inclusive of any applicable VAT. You will pay all sums due to Shared Spaces by the means of payment specified on Our Site and without any set-offs, deductions, counterclaim and/or any other withholding of monies. Payment will not be deemed to have been made until We have received cleared funds in respect of the full amount outstanding.
Indemnity
You agree to indemnify Us and Our subsidiaries, affiliates, officers, agents, co-branders and other partners, and employees, at all times against all costs, claims or liabilities, due to or arising out of Content you submit, post to or transmit through the Site, your use of the Service, your connection to the Site, your violation of these T&C or your violation of any rights of another.
Use of Content
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any Content.
General Practices
You acknowledge that We may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages will be retained by the Site, the maximum number of email messages that may be sent from or received by an account on the Site, the maximum size of any email message that may be sent from or received by an Account, the maximum disk space that will be allotted on Our servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Site in a given period of time - however, we agree to warn you of those limits prominently on the Site and this clause is not intended to operate so as to have the effect of negating the Service. You agree that We have no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Site. You acknowledge that We reserve the right to log off Accounts that are inactive for an extended period of time. You further acknowledge that We reserve the right to change these general practices and limits at any time, in our sole discretion, with or without notice.
Modifications to Service
We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that We will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service - you acknowledge that since you can join, at any time enjoy the full benefit of the Service by finding people to buy a property with and not need it any more from that moment, it would be unfair to Us to have to refund any part of your membership subscription in such circumstances.
Termination and Cancellation
You agree that We at Our sole discretion, may terminate your Account (or any part thereof) or use of the Service, and remove and discard any Content within the Site, for any reason, including, without limitation, for lack of use or if We believe that you have violated or acted inconsistently with the letter or spirit of the T&C. We may also at Our sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this T&C may be effected without prior notice, and acknowledge and agree that We may immediately deactivate or delete your Account and all related information and files in your Account and/or bar any further access to such files or the Service. Further, you agree that We will not be liable to you or any third-party for any termination of your access to the Service - you acknowledge that since you can join, at any time enjoy the full benefit of the Service by finding people to buy a property with and not need it any more from that moment, it would be unfair to Us to have to refund any part of your membership subscription in any circumstances.
Under the UK Consumer Protection (Distance Selling) Regulations 2000, when you become a Full Member you can postpone commencement of the Service until the seven working day cooling off period has expired. However, if you choose to become a Full Member and enter the Site you are electing to commence the Service immediately and you therefore waive any right to cancel the Service under these regulations.
Disclaimers relating to Advertisers & Advisers
Your correspondence or business dealings with, or participation in promotions of, advertisers and third party suppliers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser or third party supplier. To the fullest extent permitted by applicable law, you agree that: (a) Shared Spaces will not be responsible or liable for any loss or damage of any kind incurred as the result of any such dealings or as the result of the presence of such advertisers and third party suppliers on the Service, and (b) any orders placed by you on, and any product specifications and product availability appearing on, the Service are subject to confirmation by, and the terms and conditions of business of, the relevant third party supplier.
Since any advice on this Site is, by its nature, general and may contain errors or omissions, you agree that you will take independent advice before taking any action or refraining from taking any action and that you will not hold us responsible for any costs, claims and liabilities arising from reliance upon the advice on this Site. In particular, you are strongly advised to take independent legal, surveyor's and financial consultant's advice before buying any property or buying a mortgage or other finance package.

The Service, or third parties, may provide links to other web sites or resources. Because We have no control over such sites and resources, you acknowledge and agree that We are not responsible for the availability of such external sites or resources, and do not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that We will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
Our Proprietary Rights
You acknowledge and agree that the Site contains proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Site or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorised by Us or the advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Site, in whole or in part.
Respecting Members' Rights
You agree to respect the confidential information of other Members at all times including but not limited to their identity (unless required to disclose it by law or by us pursuant to these T&C or to investigate possible breaches of these T&C by you or a third party).
Other Disclaimers
You expressly acknowledge and agree that:
a) Your use of the Site is at Your sole risk. The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, We expressly disclaim all warranties, conditions and other terms of any kind, whether express or implied;

c) Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material - we have uploaded all Content using reasonably up-to-date virus protection software and we urge you to maintain your own such software and to maintain backups of all systems to mitigate your losses should it transpire that you incur damage from downloading material from Our Site;
d) You are responsible for any dealings with Members and will not hold us in any way liable for such dealings - you acknowledge that you alone are responsible for taking suitable precautions to protect yourself with all Members, for vetting them and checking their suitability for buying a property together and we urge you not to meet any Member in private until you are satisfied that it is safe to do so.
Limitation of liability
You expressly acknowledge and agree that We will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) unauthorised access to or alteration of your transmissions or data; (iii) statements or conduct of any third party on the site; or (iv) any other matter relating to the Service.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service under these T&C must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Exclusions and limitations
Nothing in these T&C will affect the statutory rights of any consumer or exclude or restrict any liability for death or personal injury arising from our negligence or for fraud.
Special Admonition for Services Relating to Financial Matters
The Service is provided for informational purposes only and no Content included on the Site is intended for trading or investing purposes. We will not be responsible or liable for the accuracy, usefulness or availability of any information transmitted via the Site, and will not be responsible or liable for any trading or investment decisions made based on such information.

Notices to you may be made via either email or regular mail. The Site may also provide notices of changes to the T&C or other matters by displaying notices or links to notices to you generally on the Site.
General Information
These T&C constitute the entire agreement between you and Us and govern your use of the Site, superseding any prior agreements between you and Us. You also may be subject to additional T&C that may apply when your use affiliate services, third-party content or third-party software. You and We agree to submit to the exclusive jurisdiction of the English courts. Any failure by Us to exercise or enforce any right or provision of the T&C will not constitute a waiver of such right or provision. If any provision of the T&C is found by a court of competent jurisdiction to be invalid, you nevertheless agree that the court should endeavour to give effect to your and Our intentions as reflected in the provision, and the other provisions of the T&C remain in full force and effect. These T&C are not intended to benefit anyone other than you and Us.
